THE SOCIALCHANCE – BRAND AGREEMENT
Effective Date: May 24, 2026
This Agreement is entered into between:
THE SOCIALCHANCE (“Agency”, “we”, “us”, or “our”)
and
the purchasing Client / Brand (“Brand”, “you”, or “your”).
By purchasing services, submitting a Brand Form, approving work, making payment, or collaborating with THE SOCIALCHANCE, the Brand agrees to this Agreement in full.
1. Scope of Services
THE SOCIALCHANCE provides user-generated content (“UGC”) and related marketing services, including but not limited to:
short-form video content
TikTok videos
Instagram Reels
paid ad creatives
product demonstrations
unboxing videos
lifestyle content
testimonials
photography
scriptwriting
editing
creator sourcing
campaign coordination
THE SOCIALCHANCE retains full discretion regarding:
creator selection
creative direction
editing decisions
production standards
workflow procedures
campaign management
unless otherwise agreed in writing.
2. Agency Role
THE SOCIALCHANCE operates as a managed UGC agency and intermediary service provider coordinating campaigns between brands and creators.
Creators and Brands do not directly contract, transact, or communicate unless expressly authorized by THE SOCIALCHANCE.
All project coordination, creator communication, revisions, approvals, workflows, and campaign management are handled exclusively through THE SOCIALCHANCE.
Nothing in this Agreement creates:
an employment relationship
partnership
joint venture
agency relationship
between the Brand and any Creator.
3. Creator Selection & Product Shipping
A creator shortlist is typically delivered within approximately 3–4 business days after project confirmation.
The Brand may select creators from the provided shortlist unless otherwise agreed.
The Brand is solely responsible for:
shipping costs
customs fees
import taxes
product delivery arrangements
Risk of loss, damage, delay, or customs issues during shipping is fully borne by the Brand.
If products must be reshipped due to shipping failure, loss, customs issues, or incorrect delivery, all associated costs are the responsibility of the Brand.
If the Brand requests return of products after content approval or project completion:
all return shipping costs
customs fees
taxes
logistics arrangements
remain the responsibility of the Brand.
Risk of loss or damage during return shipping remains fully with the Brand.
4. Project Timelines (Estimated)
Project timelines begin only after:
full payment is received
the Brand Form is completed
products are delivered to the Creator
all required information and instructions are provided
Estimated project schedule may include:
creator shortlist within 3–4 business days
script delivery within approximately 3–4 business days
one round of minor script revisions
first video draft within approximately 7 days after product delivery and script approval
All timelines are estimates only and are not guaranteed deadlines.
Project timelines may be extended due to:
shipping delays
creator availability
holidays
revisions
force majeure events
technical issues
client communication delays
approval delays
Project timelines also depend on how quickly the Brand provides feedback, approvals, and requested materials.
5. Payment Terms
Full payment is required before production begins unless otherwise agreed in writing.
All payments are non-refundable once work, production, creator sourcing, strategy, scripting, coordination, or operational preparation has begun.
Unauthorized chargebacks, reversed payments, or bad-faith payment disputes constitute a material breach of this Agreement.
THE SOCIALCHANCE reserves the right to recover:
unpaid balances
chargeback fees
legal expenses
collection costs
administrative costs
related damages
to the maximum extent permitted by law.
THE SOCIALCHANCE may suspend, pause, or terminate services in cases involving:
non-payment
abusive behavior
fraudulent activity
breach of contract
6. Revisions
Unless otherwise agreed, each project includes one (1) round of minor revisions.
Minor revisions may include:
text adjustments
caption edits
small modifications
The following are NOT considered minor revisions:
reshoots
entirely new scripts
concept changes
new creative directions
new hooks or CTAs after approval
substantial production changes
Additional revisions or changes outside the original scope may incur additional fees.
THE SOCIALCHANCE retains discretion regarding revision scope and approval standards.
7. Usage Rights & Licensing
Upon full payment, the Brand receives the agreed licensing rights outlined in the applicable Brand Form or proposal.
Unless otherwise stated:
Included Organic Usage Rights
Unlimited worldwide organic usage rights may include:
TikTok
Instagram
websites
Amazon product pages
organic social media reposting
Not Included Unless Purchased Separately
The following rights are NOT included by default:
paid advertising usage
whitelisting
Spark Ads
raw footage
editing rights
third-party redistribution
TV or broadcast usage
THE SOCIALCHANCE retains ownership and licensing authority over all delivered content unless expressly transferred in writing.
The Brand may not:
claim ownership of creator content
resell content
transfer licenses
sublicense materials
modify content in misleading, unlawful, or deceptive ways
8. Paid Advertising Rights (Add-On)
Paid advertising rights are NOT included unless separately purchased.
Available licensing options may include:
6-month paid ads license
12-month paid ads license
Paid usage rights may include:
Meta Ads
TikTok Ads
paid digital campaigns
Spark Ads
whitelisting campaigns
Paid advertising rights expire at the end of the purchased licensing term unless renewed in writing.
9. Add-Ons
Additional services may be selected through the Brand Form, including but not limited to:
raw footage
extra hooks
additional CTAs
priority delivery
express turnaround
additional revisions
extended licensing
UGC photography
All add-ons require additional fees and written confirmation.
10. Creative Disclaimer
THE SOCIALCHANCE does not guarantee:
viral performance
sales results
engagement metrics
ad performance
conversion rates
creator availability
platform algorithm results
Campaign results depend on external factors outside the control of THE SOCIALCHANCE, including:
algorithms
audience behavior
product quality
market conditions
advertising strategy
platform performance
11. Brand Responsibility
The Brand is fully responsible for:
product claims
advertising accuracy
trademarks
copyrights
regulatory compliance
legal marketing claims
instructions provided to THE SOCIALCHANCE
The Brand represents that all materials, claims, products, and instructions comply with applicable laws and third-party rights.
THE SOCIALCHANCE may reject or refuse requests that violate laws, platform policies, ethical standards, or business policies.
12. Right to Refuse or Cancel Projects
THE SOCIALCHANCE reserves the right, at its sole discretion, to refuse, reject, pause, suspend, or cancel any order, campaign, project, product, client, or collaboration request that conflicts with the morals, values, ethics, standards, reputation, or business policies of THE SOCIALCHANCE.
This includes, but is not limited to, projects that:
promote harmful, offensive, discriminatory, deceptive, or unethical content
violate applicable laws or platform policies
involve illegal products, services, or activities
create reputational, legal, operational, or safety risks
contain misleading advertising claims or prohibited marketing practices
If an order is declined before production, creator sourcing, scripting, or operational work has begun, THE SOCIALCHANCE may issue a full or partial refund at its discretion.
THE SOCIALCHANCE is not obligated to publicly explain or justify decisions regarding refusal, rejection, suspension, or cancellation of services.
13. Portfolio Rights
Unless otherwise agreed in writing, THE SOCIALCHANCE may use completed work, campaign materials, and deliverables for:
portfolio purposes
website display
social media marketing
advertising
case studies
promotional materials
14. Confidentiality
Both parties agree to keep confidential all non-public information including:
campaign strategies
pricing
internal communications
unreleased products
business operations
proprietary information
unless disclosure is legally required.
15. Limitation of Liability
To the maximum extent permitted by law, THE SOCIALCHANCE shall not be liable for:
business losses
lost profits
advertising performance
indirect damages
creator conduct
platform penalties
shipping issues
data loss
third-party claims
Maximum liability is limited to the amount paid by the Brand for the specific project giving rise to the claim.
16. Non-Disparagement
Both parties agree not to make false, misleading, defamatory, or harmful public statements regarding each other.
17. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control including:
natural disasters
war
pandemics
shipping disruptions
internet outages
government actions
technical failures
labor shortages
18. Termination
THE SOCIALCHANCE may terminate services immediately if:
payment is not made
this Agreement is breached
abusive conduct occurs
fraudulent activity occurs
illegal or unethical requests are made
unauthorized chargebacks are initiated
No refunds will be issued after work has commenced unless otherwise determined by THE SOCIALCHANCE in writing.
19. Electronic Acceptance
Electronic acceptance, digital signatures, form submissions, payments, dashboard actions, email confirmations, project approvals, and website checkboxes constitute legally binding acceptance of this Agreement.
20. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of Germany.
21. Acceptance
By purchasing services, submitting a Brand Form, making payment, approving work, or collaborating with THE SOCIALCHANCE, the Brand confirms full understanding and acceptance of this Agreement.
