These Terms & Conditions (“Terms”) govern your access to and use of our website, services, dashboards, messaging systems, creator portal, brand portal, and all related services provided by THE SOCIAL CHANCE.
By accessing, registering, submitting forms, purchasing services, communicating through the platform, or otherwise using our services, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you may not use the platform or services.
1. Platform Overview
THE SOCIAL CHANCE is a managed UGC and influencer marketing agency that coordinates content production and marketing campaigns between brands and creators.
Platform features and services may include:
Creator dashboards
Brand dashboards
Messaging systems
Campaign management
Order tracking
Revision requests
Creator applications
File uploads and submissions
Payment processing
Creative coordination
UGC production services
THE SOCIAL CHANCE reserves the right to modify, suspend, discontinue, or update any feature or service at any time without liability.
2. Eligibility
By using the platform, you represent and warrant that:
You are legally capable of entering binding agreements
All information you provide is accurate and current
Your use of the platform complies with applicable laws
You will not use the platform for fraudulent, unlawful, or abusive purposes
Users under the age of 18 may only use the platform with permission from a parent or legal guardian where required by applicable law.
3. User Accounts
Users may be required to create an account to access certain features.
You are responsible for:
Maintaining the confidentiality of your login credentials
All activity occurring under your account
Keeping account information accurate and updated
Securing your devices and account access

4. Platform Communications

creators and administrators
brands and administrators
Direct communication between creators and brands is prohibited unless expressly approved by THE SOCIAL CHANCE.
Users acknowledge and agree that:
communications may be stored, processed, monitored, reviewed, and used for operational, legal, moderation, dispute resolution, customer support, and security purposes
communications conducted through the platform may serve as evidence in disputes or investigations
users are responsible for the information they share through the platform
THE SOCIAL CHANCE reserves the right to restrict, remove, monitor, or investigate communications that violate these Terms or platform policies.
5. Agency Role and Managed Services
THE SOCIAL CHANCE operates as an intermediary agency and managed service provider coordinating campaigns between brands and creators.
Brands and creators do not directly contract, transact, or communicate with each other through the platform unless expressly authorized by THE SOCIAL CHANCE.
All project management, creator coordination, revisions, approvals, communication, payment handling, and workflow operations are managed solely through THE SOCIAL CHANCE.
THE SOCIAL CHANCE reserves full discretion regarding:
creator selection
campaign coordination
project management
creative direction
workflow procedures
communication processes
Nothing in these Terms creates any:
employment relationship
partnership
joint venture
direct contractual relationship
between brands and creators.
Creators operate as independent contractors and are not employees of THE SOCIAL CHANCE.
6. Services and Deliverables
Services provided by THE SOCIAL CHANCE may include:
UGC video creation
Product demonstrations
Unboxing content
Lifestyle content
Testimonials
Photography
Scriptwriting
Editing and post-production
Creator sourcing
Campaign management
Paid advertising licensing
Creative strategy support
Specific deliverables, timelines, revisions, licensing rights, usage rights, pricing, and project terms may be governed by separate agreements, invoices, project briefs, forms, or written communications.
Estimated timelines are not guaranteed deadlines.
7. User Content
Users may upload or submit content including:
videos
images
campaign materials
scripts
product information
portfolio content
messages and communications
brand assets
Users retain ownership of their intellectual property unless otherwise agreed in separate written agreements.
By submitting content, users grant THE SOCIAL CHANCE a non-exclusive, worldwide, royalty-free license to host, process, reproduce, display, modify, store, and use such content as necessary to operate the platform and provide services.
Users are solely responsible for ensuring they possess all necessary rights for submitted materials.
8. Intellectual Property & Licensing
All branding, website materials, graphics, software, text, systems, and proprietary materials owned by THE SOCIAL CHANCE are protected by intellectual property laws.
Users may not:
reproduce platform materials
reverse engineer systems
copy website content
resell platform access
exploit platform materials without authorization
Licensing rights for campaign deliverables, paid advertising usage, raw footage, and commercial usage are governed separately through Brand Agreements and Creator Agreements.
9. Payments and Fees
Payments may be processed through third-party payment providers.
Users agree that:
payment obligations must be fulfilled on time
certain fees may be non-refundable once work has started
delayed or failed payments may result in service suspension
unauthorized chargebacks or bad-faith payment disputes constitute a material breach of these Terms
THE SOCIAL CHANCE reserves the right to recover unpaid balances, chargeback fees, legal expenses, collection costs, and related damages to the maximum extent permitted by law.
10. Order Approval, Cancellation & Refund Policy
Orders submitted through THE SOCIAL CHANCE are subject to internal review and approval.
THE SOCIAL CHANCE reserves the right to approve, reject, pause, or decline any order at its sole discretion.
Once an order has been approved by THE SOCIAL CHANCE and production, creator sourcing, campaign preparation, strategy work, scripting, coordination, or related operational work has begun, the order becomes final and non-cancellable.
Brands may not cancel approved projects after work has commenced.
All payments made for approved orders are non-refundable unless otherwise agreed in writing by THE SOCIAL CHANCE.
Unauthorized chargebacks, reversed payments, or bad-faith payment disputes constitute a material breach of these Terms and may result in:
immediate suspension or termination of services
legal action
recovery proceedings
collection fees
administrative costs
legal expenses
permanent restriction from the platform
THE SOCIAL CHANCE reserves the right to determine whether production or operational work has commenced.
11. Revisions and Project Timelines
Project timelines may depend on:
creator availability
shipping times
client responsiveness
revisions
holidays
technical issues
force majeure events
Delays caused by external factors do not constitute breach of contract.
Revision limits, turnaround times, and approval procedures may vary depending on the project scope and applicable agreements.
12. Prohibited Conduct
Users may not:
violate applicable laws or regulations
infringe intellectual property rights
upload malicious software or harmful code
harass, abuse, or threaten others
submit misleading or fraudulent information
interfere with platform functionality
circumvent payment systems or agency processes
engage in spam or unauthorized advertising
disclose confidential information without authorization
Users may not attempt to bypass THE SOCIAL CHANCE to directly solicit, hire, recruit, contract, or transact with creators or brands introduced through the platform without prior written authorization.
THE SOCIAL CHANCE reserves the right to investigate and take action against prohibited conduct without prior notice.
13. Right to Refuse Services
THE SOCIAL CHANCE reserves the right, at its sole discretion, to refuse, reject, suspend, cancel, or discontinue any project, campaign, order, client, creator collaboration, or service request that we believe:
conflicts with our agency values, ethics, or business standards
violates applicable laws or regulations
promotes harmful, deceptive, discriminatory, offensive, or unsafe content
involves illegal products, services, or activities
creates reputational, legal, operational, or security risks
contains misleading advertising or false claims
violates platform policies or third-party rights
THE SOCIAL CHANCE is not obligated to publicly explain or justify decisions regarding refusal or termination of services.
Where applicable, refund eligibility will be determined at THE SOCIAL CHANCE’s discretion and in accordance with applicable agreements or policies.
14. Third-Party Services
The platform may integrate with third-party services including:
payment processors
cloud hosting providers
analytics tools
communication platforms
social media services
THE SOCIAL CHANCE is not responsible for third-party outages, functionality, content, policies, or security practices.
15. Privacy
Use of the platform is also governed by our Privacy Policy.
By using the platform, users acknowledge that personal information may be collected, stored, and processed in accordance with the Privacy Policy.
16. Platform Availability
THE SOCIAL CHANCE does not guarantee uninterrupted or error-free platform availability.
The platform may occasionally be unavailable due to:

We are not liable for interruptions, delays, or data loss.
17. Disclaimer of Warranties

engagement metrics
creator availability
uninterrupted platform access
error-free operation
Results depend on many external factors outside our control.
Use of the platform is at your own risk.
18. Limitation of Liability
To the maximum extent permitted by law, THE SOCIAL CHANCE shall not be liable for:
indirect or consequential damages
loss of profits or revenue
business interruption
advertising performance losses
creator or brand disputes
platform penalties
shipping losses
data loss
third-party claims
Maximum liability shall not exceed the amount paid to THE SOCIAL CHANCE for the relevant service or project.
19. Indemnification
Users agree to indemnify and hold harmless THE SOCIAL CHANCE, its owners, affiliates, employees, contractors, and partners against claims, liabilities, damages, losses, expenses, and legal costs arising from:
user content
violations of these Terms
violations of laws or third-party rights
fraudulent or unlawful conduct
intellectual property disputes
20. Confidentiality
Users agree not to disclose confidential or non-public information obtained through the platform, including:
campaign strategies
pricing
internal communications
creator information
brand information
business operations
unless authorized or legally required.
21. Force Majeure
THE SOCIAL CHANCE shall not be liable for delays or failures caused by events beyond reasonable control including:

pandemics
government actions
internet outages
platform failures
shipping disruptions
labor shortages
technical failures
22. Suspension and Termination
THE SOCIAL CHANCE reserves the right to suspend or terminate accounts or services immediately if users:
violate these Terms
engage in abusive behavior
fail to make required payments
initiate fraudulent chargebacks
create legal or security risks
violate applicable laws
attempt to bypass agency management processes
Termination may result in loss of access to dashboards, communications, accounts, and stored content.
23. Dispute Resolution
Both parties agree to attempt good-faith resolution of disputes through written communication before initiating formal legal proceedings.
Electronic communications, digital approvals, dashboard activity, form submissions, and website interactions may serve as evidence in disputes.
24. Electronic Acceptance
Electronic acceptance, digital signatures, account registrations, project approvals, form submissions, email confirmations, dashboard actions, and website checkboxes constitute legally binding acceptance of these Terms.
25. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Germany, without regard to conflict of law principles.
26. Changes to These Terms
THE SOCIAL CHANCE may update these Terms at any time.
Updated versions will be posted on the website with a revised effective date.
Continued use of the platform after updates constitutes acceptance of the revised Terms.
